Terms of Service

1. Agreement to Terms

By accessing or using Omii (the “Service”), operated by OMII AI (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms are effective as of July 13, 2026.

2. Description of Service

Omii is an AI-powered Instagram content automation platform. The Service enables users to generate images using AI, write captions for Instagram posts, schedule content for future publication, and publish posts directly to Instagram Business accounts via the Meta Graph API. Features include automated image generation powered by Flux AI, caption writing, post scheduling, and direct publishing to connected Instagram accounts.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 18 years of age to use the Service. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Subscription and Billing

Omii offers paid subscription plans (Starter at $29/month, Pro at $79/month, and Agency at $199/month) billed on a monthly basis. All plans include a 7-day free trial. If you do not cancel before the end of your free trial, your payment method will be charged for the first billing period. Subscriptions renew automatically each month unless cancelled prior to the renewal date. Payments are processed by Stripe. We do not offer refunds once a billing period has commenced. You may cancel your subscription at any time through your account dashboard; cancellation takes effect at the end of the current billing period. We reserve the right to change subscription prices with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You may not use the Service to create, distribute, or publish content that is illegal, defamatory, harassing, fraudulent, or that infringes the intellectual property rights of any third party. You may not impersonate any person or entity, use the Service to send unsolicited commercial messages (spam), or publish content that violates Instagram's Community Guidelines or Meta's Platform Terms. You may not attempt to scrape, mine, or extract data from the Service through automated means beyond the functionality we provide. You may not attempt to circumvent, disable, or interfere with any rate limits, security features, or access controls of the Service or the Meta Graph API. We reserve the right to terminate accounts that violate these provisions.

6. Instagram / Meta Integration

By connecting your Instagram Business account to the Service, you authorize OMII AI to access your Instagram account via the Meta Graph API solely to publish content on your behalf. This authorization is limited to the permissions required for publishing (including pages_manage_posts, instagram_basic, and instagram_content_publish). You remain solely responsible for all content published to your Instagram account through the Service. Your use of the Service in connection with Instagram must comply with Meta's Platform Terms, Instagram's Terms of Use, and Instagram's Community Guidelines. OMII AI is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.

7. Intellectual Property

The Omii platform, including its software, design, trademarks, and content, is the proprietary property of OMII AI and is protected by applicable intellectual property laws. You retain ownership of all content you create and all images generated on your behalf through the Service. By using the Service, you grant OMII AI a limited, non-exclusive, royalty-free license to process, store, and transmit your content solely to the extent necessary to provide the Service. This license does not grant us the right to use your content for any other purpose, including marketing or advertising, without your explicit consent.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We make no guarantees regarding the reach, engagement, algorithmic performance, or quality of any AI-generated images or captions produced through the Service. Your use of the Service is at your sole risk.

9. Limitation of Liability

To the fullest extent permitted by applicable law, OMII AI's total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total fees you paid to us in the three months immediately preceding the event giving rise to the claim. In no event shall OMII AI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.

10. Termination

We may suspend or terminate your account and access to the Service immediately, without prior notice, if we determine that you have violated these Terms or engaged in conduct that we reasonably determine to be harmful to us, other users, or third parties. You may cancel your account at any time through your account dashboard. Upon termination, your right to use the Service ceases immediately. Your data may be retained for up to 30 days following termination to allow for account recovery, after which it may be permanently deleted. Provisions of these Terms that by their nature should survive termination shall continue to apply.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York, New York, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
